Terms of Use

In these Terms:

• “AI Services” means proprietary and third-party large-language models, generative-AI technologies, APIs, machine-learning tools, software, data-processing systems, automated workflows and associated services used or made available through MissionPro.
• “Company Materials” means all intellectual property, software, code, interfaces, designs, prompts, templates, model configurations, workflows, documentation, datasets, compilations, analytics, know-how, branding, trade secrets, content and improvements owned by, licensed to or developed by Tango Tech.
• “Input” means all prompts, instructions, data, files, content, personal data, materials and other items that you submit, upload, transmit, connect or otherwise make available through MissionPro.
• “MissionPro” means the MissionPro application, platform, website, software, interfaces, features, workflows, documentation, AI Services, materials, branding, content, updates and related services provided by Tango Tech.
• “Output” means content, responses, recommendations, text, code, images, analyses, captions, campaign materials, schedules, reports or other materials generated by or through MissionPro.
• “Tango Tech Marks” means “Tango Tech”, “Tango Tech Ltd.”, “MissionPro”, and all related names, logos, trade dress, taglines, domain names, product names, service names, icons, designs and confusingly similar identifiers used by or on behalf of Tango Tech.

You must be at least 18 years old and legally capable of entering into a binding agreement. You must provide accurate, complete and current account information, keep credentials confidential and promptly notify us of suspected unauthorised access. You are responsible for all activity through your account, including activity by authorised users and connected third-party accounts.

Access is personal or, if we approve business use, limited to your internal business purposes. We may accept, reject, restrict, suspend or terminate an account or access to MissionPro at any time, to the maximum extent permitted by law.

You are responsible for ensuring that access to and use of MissionPro is lawful where you are located or operate. We do not represent that MissionPro is lawful, suitable, available or compliant in every jurisdiction.

Paid plans, plan limits, prices, billing intervals, trial terms and renewal terms are shown at checkout, in an order form or otherwise within MissionPro. You authorise us or our payment provider to charge applicable fees, taxes and other disclosed charges using your selected payment method.

Unless an order form states otherwise, subscriptions renew automatically for successive billing periods unless cancelled before the renewal date through the account settings or another method we specify. Fees are non-refundable except where required by applicable law or expressly stated in writing. We may change pricing, plans and features on prospective notice; the change will apply from the next renewal or another date stated in the notice.

We may suspend or limit access for overdue amounts, chargebacks, suspected fraud, usage exceeding plan limits or breaches of these Terms. You remain responsible for all accrued fees.

Subject to your ongoing compliance with these Terms, payment obligations, applicable usage limits and applicable law, Tango Tech grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence during your subscription or access term to access and use MissionPro for your personal or internal business use.

This is a licence, not a sale. MissionPro, the Tango Tech Marks and all Company Materials are and remain the exclusive property of Tango Tech and/or its licensors. Except for the limited right expressly granted in these Terms, no right, title, interest, licence, assignment, ownership right or other proprietary interest in MissionPro, the Tango Tech Marks or Company Materials is granted or transferred to you.

MissionPro and Tango Tech are proprietary business and product identifiers of Tango Tech Ltd. All rights in the Tango Tech Marks are reserved.

You receive no licence to use the Tango Tech Marks, including “MissionPro”, “Tango Tech”, “Tango Tech Ltd.”, related logos, product names, domain names or visual identity, except for a limited, revocable, non-exclusive, non-transferable permission to accurately identify MissionPro solely as the source of an authorised service and only in accordance with any published brand guidelines.

You must not, and must not permit another person to:

• Use a Tango Tech Mark in a domain name, social-media handle, account name, email address, metatag, keyword advertisement, search term, app-store listing, business name, company name, product name or service name.
• Use a Tango Tech Mark in a way that suggests sponsorship, endorsement, affiliation, partnership, certification or approval by Tango Tech.
• Use a Tango Tech Mark in comparative advertising, criticism, parody, misleading promotion or another manner likely to dilute, tarnish, damage or misappropriate the reputation or goodwill of Tango Tech or MissionPro, to the maximum extent permitted by law.
• Use or adopt any mark, logo, name, design or identifier identical or confusingly similar to MissionPro or a Tango Tech Mark.
• Challenge, contest, apply to register, assist another person to register, or claim rights in a Tango Tech Mark, MissionPro-related name, domain, logo or confusingly similar identifier.

Any goodwill generated through authorised use of the Tango Tech Marks accrues exclusively to Tango Tech. You must promptly notify us of suspected infringement, impersonation, misuse, counterfeit activity, cybersquatting or confusingly similar branding that comes to your attention. Tango Tech alone may enforce, settle, abandon, oppose, cancel, pursue or otherwise manage any related dispute; you have no independent enforcement right.

Unauthorised use is a material breach and may cause irreparable harm. Tango Tech may seek injunctive, equitable, interim and other relief without proving actual damages, to the extent legally permitted.

You must not, directly or indirectly:

• Copy, modify, translate, adapt, reproduce, distribute, publish, sell, lease, rent, sublicense, frame, mirror, publicly display or commercially exploit MissionPro or Company Materials.
• Reverse engineer, decompile, disassemble or attempt to derive source code; extract models; reproduce workflows; scrape, crawl, harvest, benchmark, probe, extract prompts or datasets, or conduct security testing, except only to the narrow extent an applicable law expressly prohibits that restriction.
• Remove, alter, conceal or circumvent proprietary notices, watermarks, attribution, technical measures, content filters, safety controls, usage limitations, access controls or security features.
• Access MissionPro other than through authorised interfaces, interfere with its operation, introduce malicious code, bypass rate limits, share access credentials or use MissionPro to build, train or support a competing or substantially similar product or service.
• Use MissionPro or Outputs unlawfully, deceptively, abusively, infringingly, invasively of privacy, defamatory, discriminatory, fraudulent, harmful or in violation of third-party platform rules.
• Submit or generate content involving unlawful exploitation, impersonation, spam, coordinated inauthentic behaviour, misinformation, prohibited political advertising or any other use we prohibit in an applicable acceptable-use policy.

You must comply with all laws, advertising standards, consumer-protection rules, intellectual-property laws, privacy and data-protection obligations, and the terms, policies and technical requirements of each third-party platform you connect to or use through MissionPro.

MissionPro may allow you to connect social-media, advertising, analytics, content-management or other third-party accounts and may draft, generate, schedule, publish, manage or analyse content on your behalf. You authorise Tango Tech and its service providers to access and process the relevant account information and content only as necessary to provide MissionPro and as described in the Privacy Notice.

You are solely responsible for all content drafted, generated, scheduled, published, distributed or managed through MissionPro, whether or not you reviewed it before publication. This includes responsibility for claims or consequences relating to defamation, intellectual-property infringement, rights of publicity, advertising disclosures, consumer protection, harassment, privacy, platform-policy violations or other legal violations.

You must have all necessary rights and permissions to connect an account, grant access and direct any action through it. You remain responsible for reviewing all scheduled posts, publication settings, audience targeting, spend settings and account permissions. MissionPro is not affiliated with, endorsed by or sponsored by any third-party platform unless we expressly state otherwise. Third-party services may change, suspend, restrict or terminate their services or integrations, and we are not responsible for that.

AI acknowledgement. MissionPro uses automated and generative AI. Outputs are automatically generated and may be inaccurate, incomplete, biased, offensive, non-unique, non-confidential, unavailable, unsuitable, legally restricted or otherwise unreliable. Outputs may be influenced by third-party models, systems, providers, data, infrastructure and service interruptions.

Outputs do not constitute legal, financial, tax, investment, insurance, accounting, employment, compliance, medical, safety, engineering or other professional advice. You must not rely on MissionPro or any Output as professional advice or as the sole or determinative basis for decisions involving employment, credit, insurance, housing, healthcare, education admission, legal rights, public services, safety or similarly significant matters affecting individuals.

You bear sole responsibility for evaluating, validating, testing, fact-checking, supervising, legally clearing and deciding whether and how to use every Input and Output. You must obtain qualified human and professional review before using an Output in any material, regulated, safety-sensitive, high-impact or legally consequential context.

Tango Tech does not promise that Outputs are unique, original, copyrightable, non-infringing, suitable for a particular purpose, legally compliant, factually correct, safe, available or fit for commercial use. Similar or identical Outputs may be produced for others. No user receives exclusivity in any Output or prompt.

We may update, substitute, restrict, discontinue or change AI models, providers, functionality, guardrails, output formats, performance characteristics and availability at any time.

9.1 Your Inputs. You retain any rights in Inputs that you already possess. You represent and warrant that you have all rights, permissions, consents, notices and lawful bases necessary to provide Inputs, connect any third-party account, direct MissionPro to access or process the relevant content and data, and permit the uses described in these Terms, the Privacy Notice and applicable data-use settings.

9.2 Operational licence. You grant Tango Tech, its affiliates and service providers a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence, during and after the applicable access term to the extent reasonably necessary, to host, store, copy, reproduce, transmit, display, format, modify, adapt, analyse, process and use Inputs, Outputs, connected-account content, account information and related data to:

• provide, operate, maintain, secure, support and administer MissionPro;
• generate, schedule, publish, manage and analyse content and campaigns at your direction;
• prevent fraud, abuse, security incidents and violations of these Terms;
• comply with law, enforce our rights and respond to legal requests; and
• create and use de-identified and aggregated information as permitted under Section 9.5.

9.3 Product improvement and AI development. Subject to applicable law, the Privacy Notice and your applicable data-use settings, Tango Tech may use Inputs, Outputs, feedback, usage information and related data to develop, test, evaluate, monitor, maintain, improve and enhance MissionPro, the AI Services, models, prompts, templates, workflows, safety systems, quality-assurance processes, analytics and related products and services. This does not apply to data obtained from connected third-party platforms (such as social-media accounts): Tango Tech uses that connected-account content only to provide the features you request, and not for product improvement, model training or model evaluation, consistent with those platforms’ terms.

For clarity, this may include human and automated review, annotation, quality testing, safety testing, error analysis, performance measurement, model evaluation and the creation of derived data. Tango Tech will not intentionally use content identified in the applicable account settings as excluded from product-improvement or model-training uses, except where necessary to provide the service, maintain security, comply with law, investigate misuse or as otherwise authorised by you.

9.4 Enterprise data-use controls. If you purchase an enterprise plan under a written agreement that expressly prohibits the use of Customer Content for model training or product improvement, that written agreement will control to the extent of conflict with this Section. Unless expressly agreed otherwise, Tango Tech may continue to use de-identified and aggregated information, service telemetry, security information, feedback and data necessary to operate, support, secure and comply with law in relation to MissionPro.

9.5 De-identified and aggregated data. Tango Tech may generate, collect, analyse, use, disclose, commercialise and retain de-identified and aggregated data derived from MissionPro, Inputs, Outputs, usage patterns, campaign activity, product telemetry and performance information, provided that Tango Tech does not identify you or a reasonably identifiable individual or customer in that data. Tango Tech may use this information for product development, benchmarking, analytics, research, security, service optimisation, marketing substantiation, market insights and other lawful business purposes.

9.6 Feedback. If you provide suggestions, feedback, ideas, bug reports, ratings or other comments relating to MissionPro, you grant Tango Tech a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free and fully paid-up right to use, reproduce, modify, distribute, disclose, commercialise and otherwise exploit that feedback for any purpose, without restriction, attribution or compensation to you.

9.7 Outputs. Subject to payment and compliance with these Terms, Tango Tech grants you a limited, non-exclusive, revocable right to use Outputs for lawful purposes. This licence does not assign or transfer Tango Tech’s underlying methods, models, prompts, templates, configurations, data, know-how or platform intellectual property. Tango Tech makes no warranty that any Output is unique, copyrightable, non-infringing, legally compliant, exclusive or fit for a particular purpose.

9.8 Data retention and deletion. Tango Tech may retain Inputs, Outputs and related data for as long as reasonably necessary for the purposes described in these Terms and the Privacy Notice, including backups, legal compliance, dispute resolution, security, fraud prevention, enforcement, de-identification and aggregation. Deletion of an account or Input does not require Tango Tech to delete de-identified or aggregated data, feedback, security logs or information retained under a legal obligation or legitimate operational need, to the extent permitted by applicable law.

Our collection and use of personal data are governed by our Privacy Notice. If you are a business customer and applicable law requires a data-processing agreement, the parties will enter into our then-current Data Processing Addendum or another written agreement approved by Tango Tech before the relevant processing begins.

You must maintain appropriate safeguards for your account, connected accounts and Inputs. You must promptly notify us of suspected security incidents or unauthorised use. No system is completely secure, and you acknowledge the inherent risks of transmitting and processing information online and through AI Services.

We may immediately suspend, limit, investigate, preserve evidence, remove content, terminate access or report conduct to authorities if we reasonably consider it necessary for security, compliance, legal risk, reputation, non-payment, suspected misuse or convenience. We are not liable for any resulting loss, to the maximum extent permitted by law.

You may stop using MissionPro at any time. Termination does not excuse amounts due or obligations accrued before termination. On termination or on our request, you must immediately stop using MissionPro and delete or return Company Materials in your possession or control. Sections that by their nature should survive — including intellectual property, restrictions, data rights, disclaimers, indemnities, limitations of liability, disputes and general terms — will survive.

MissionPro is provided “as is” and “as available.” To the maximum extent permitted by applicable law, Tango Tech and its licensors, suppliers and service providers disclaim all warranties, representations and conditions, whether express, implied, statutory or otherwise, including warranties of accuracy, quality, output reliability, availability, uninterrupted operation, security, compatibility, performance, legal compliance, merchantability, fitness for a particular purpose, title, non-infringement and commercial outcome.

Without limiting the above, we do not warrant that MissionPro will meet your requirements, operate uninterruptedly or error-free, be secure, produce any particular result, preserve data, integrate successfully with a third-party service, or make any Output suitable or safe for publication or commercial use.

Some jurisdictions do not allow certain exclusions. In that case, exclusions apply only to the maximum extent permitted by applicable law.

You will defend, indemnify and hold harmless Tango Tech, its affiliates, directors, officers, employees, contractors, licensors, suppliers, successors and assigns from and against all claims, losses, liabilities, damages, penalties, costs and expenses, including reasonable legal fees, arising out of or relating to:

• Your Inputs, instructions, conduct, use, misuse, publication, distribution, commercialisation of or reliance on Outputs.
• Your breach of these Terms, the Privacy Notice, applicable acceptable-use rules or applicable law.
• An intellectual-property, privacy, confidentiality, data-protection, defamation, consumer-protection, advertising, regulatory or other third-party claim caused by your Inputs or use of Outputs.
• Your use of MissionPro in a regulated, high-risk, harmful, safety-sensitive or legally consequential setting.
• A dispute between you and a third party, including a connected-platform provider.

Tango Tech may assume exclusive control of the defence and settlement of an indemnified claim. You will reasonably cooperate with the defence. You may not settle a claim in a way that imposes an obligation, admission or liability on Tango Tech without our prior written consent.

To the maximum extent permitted by applicable law, Tango Tech and its affiliates, licensors, suppliers, service providers and protected parties will not be liable for any indirect, consequential, incidental, special, exemplary, punitive or unforeseeable loss, or for any loss of revenue, profit, business, contracts, goodwill, reputation, opportunity, savings, data, confidentiality or anticipated benefits.

This exclusion applies whether the claim is based on contract, tort, including negligence, statute, misrepresentation, restitution or any other legal theory, and even if we have been advised of the possibility of loss. It includes losses arising from AI Outputs, Inputs, reliance, third-party services, outages, unauthorised access, model error, data loss and changes to MissionPro.

To the maximum extent permitted by applicable law, Tango Tech’s total aggregate liability arising out of or relating to MissionPro or these Terms, across all claims and legal theories, will not exceed the greater of:

• Fees actually paid by you to Tango Tech for MissionPro in the three months immediately before the event giving rise to the claim; or
• HKD 100.

For a free user, the aggregate cap is HKD 100 or the lowest amount legally permitted.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited. The disclaimers, exclusions and limitations in these Terms are a fundamental basis of the bargain and allocation of risk between you and Tango Tech.

These Terms and any non-contractual obligations arising out of or in connection with them are governed by Hong Kong law, excluding conflict-of-laws rules.

Subject to the arbitration option below, the courts of Hong Kong have exclusive jurisdiction over disputes arising out of or relating to these Terms or MissionPro. Tango Tech may, at its sole option, require that a dispute be finally resolved by confidential arbitration seated in Hong Kong, conducted in English under the Hong Kong International Arbitration Centre Administered Arbitration Rules then in force, by one arbitrator appointed in accordance with those rules. Judgment on an award may be entered in any court of competent jurisdiction.

Nothing restricts Tango Tech from seeking urgent, interim, injunctive, equitable or protective relief in any court of competent jurisdiction for actual or threatened infringement, misuse, confidentiality breach, unauthorised use of MissionPro or misuse of the Tango Tech Marks.

Mandatory legal rights that cannot lawfully be excluded, including applicable mandatory consumer or privacy protections, remain unaffected.

We may modify these Terms, MissionPro, pricing, models, features, acceptable-use policies and documentation at any time. We will post revised Terms or provide notice by another reasonable method. Continued use after the effective date of revised Terms constitutes acceptance where legally permitted. If you do not agree, you must stop using MissionPro before the revised Terms take effect.

You consent to enter into these Terms electronically and to receive notices, disclosures and records electronically, including through MissionPro, email or posting on our website. Electronic records and acceptance have the same effect as permitted by applicable law.

These Terms, the Privacy Notice, any applicable acceptable-use policy, order form and data-processing addendum form the entire agreement between you and Tango Tech concerning MissionPro and supersede prior discussions or agreements on that subject. If an order form expressly states it overrides a provision of these Terms, the order form controls only to that extent.

If a provision is invalid, illegal or unenforceable, it will be enforced to the maximum extent permitted and, if necessary, modified or severed to preserve the remainder. A failure to enforce a provision is not a waiver. You may not assign or transfer these Terms or your rights without our written consent. We may assign or transfer our rights and obligations without restriction, including in connection with a restructuring, financing, merger, acquisition or sale of assets.

We are not liable for delay or failure caused by events beyond our reasonable control, including internet or telecommunications failure, third-party service interruption, cyberattack, labour dispute, governmental action, epidemic, natural disaster or force majeure event.

Notices to you may be delivered through MissionPro, email or the account contact details you provide. Notices to Tango Tech must be sent to info@tango-tech.ai or another address we designate. No person is a third-party beneficiary of these Terms except Tango Tech’s affiliates and the protected parties specified in Section 13, which may enforce the provisions made for their benefit.
